Our Corporate Structure
Prior to October 1, 2005, all Company stock was owned and controlled by Hesta, AG; Zurich, Switzerland. Effective October 1, 2005, Bahnson Holdings, Inc. (BHI) was incorporated and a minority position in Luwa, Inc. was sold to U.S. management (LOG). This, in part, implemented the Hesta AG strategy of moving to a financial holding company. At that time a board of directors was established for BHI which was reflective of ownership participation.
Effective April 30, 2008, LOG bought controlling interest in Luwa, Inc.; Hesta AG continues to participate as a minority partner. At that time the board was realigned to reflect the respective level of ownership participation of LOG and Hesta, AG.
The BHI directors provide oversight and governance of Bahnson, Inc. (renamed from Luwa, Inc. January 1, 2009) in accordance with established corporate bylaws. The current ownership and organizational structure is illustrated below:

Bahnson, Inc. is organized operationally into three business units. Each business unit is a separate profit center, with its own management team, sales force, etc., operating within clearly defined market sectors. Intermech operates as a union contractor being signatory to numerous local and national labor agreements.
